By accessing or using the services provided by AskReview.IO ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our services. These Terms constitute a legally binding agreement between you and AskReview.IO.

AskReview.IO provides a review management SaaS platform that enables businesses to collect, manage, and respond to customer reviews. Our services include smart review routing, QR code generation, email campaign automation, multi-location management, and analytics dashboards.

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide reasonable notice of any material changes by updating the "Effective Date" at the top of this page. Your continued use of the services after such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically.

To use certain features of our services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are solely responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to: • Use our services in any way that violates applicable local, national, or international law or regulation. • Send unsolicited communications or spam to customers or third parties. • Use our platform to collect reviews in a deceptive, misleading, or fraudulent manner. • Attempt to gain unauthorized access to any portion of the service or its related systems. • Transmit any harmful, offensive, or disruptive content through our platform. • Reverse engineer, disassemble, or attempt to derive the source code of our software.

Access to certain features of AskReview.IO requires a paid subscription. By selecting a subscription plan, you agree to pay all applicable fees. Subscriptions are billed on a recurring basis (monthly or annually, depending on your selection). You authorize us to charge the payment method on file for all applicable fees. We reserve the right to change pricing with prior notice. Failure to pay may result in suspension or termination of your account.

You may cancel your subscription at any time. Upon cancellation, you will continue to have access to paid features until the end of your current billing period. We do not provide refunds for partial billing periods. AskReview.IO reserves the right to issue refunds at its sole discretion on a case-by-case basis.

All content, trademarks, logos, trade names, service marks, and data on this site, including but not limited to software, databases, text, graphics, icons, and hyperlinks, are the property of or licensed to AskReview.IO and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use our services for your internal business purposes only. You may not copy, reproduce, distribute, or create derivative works from our content without our express written permission.

By submitting content to our platform (including but not limited to business information, review responses, and email templates), you grant AskReview.IO a worldwide, non-exclusive, royalty-free license to use, store, and display such content solely for the purpose of providing and improving our services. You represent and warrant that you own or have the necessary rights to all content you submit and that such content does not infringe the rights of any third party.

Our services may integrate with or link to third-party services (such as Google, Yelp, Facebook, Stripe, and others). These integrations are provided for your convenience. We do not endorse and are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is governed by their respective terms of service and privacy policies.

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the practices described in our Privacy Policy.

Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee any specific results from the use of our services.

To the maximum extent permitted by applicable law, AskReview.IO and its directors, employees, partners, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses resulting from (i) your access to or use of or inability to access or use the service; (ii) any conduct or content of any third party on the service; (iii) unauthorized access, use, or alteration of your transmissions or content. Our total liability to you for any claims arising under these Terms shall not exceed the amounts paid by you to AskReview.IO in the twelve (12) months prior to the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless AskReview.IO and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the services, your violation of these Terms, or your violation of any rights of a third party.

We reserve the right to suspend or terminate your access to our services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason. Upon termination, your right to use the services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall first be subject to good-faith negotiation. If not resolved, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class-action lawsuit or class-wide arbitration.
